Scope of Services & License Grant

  1. Services Provided： DSown provides industrial-grade signal processing chip products, technical support services, custom design services, and related information through the Site (collectively, the "Services"). We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice, subject to applicable laws.
  2. License to Use the Services： We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your legitimate business purposes (e.g., inquiring about products, obtaining technical support, purchasing products). You agree not to use the Services for any illegal or unauthorized purpose.
  3. Restrictions on Use：
    1. You shall not copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Services.
    2. You shall not attempt to gain unauthorized access to the Services, our servers, or any related systems or networks.
    3. You shall not use the Services in a manner that could damage, disable, overburden, or impair our servers or networks.

Product Purchases & Order Terms

  1. Order Acceptance： All orders for our products are subject to our acceptance. We may reject or cancel any order for any reason (e.g., insufficient inventory, incorrect pricing, product discontinuance) prior to shipment. We will notify you if we reject or cancel your order.
  2. Pricing and Payment：
    1. Product prices are as stated on the Site or in our quotation documents, and are subject to change without prior notice. All prices are exclusive of taxes, duties, shipping fees, and other related charges, which shall be borne by you.
    2. You agree to pay for all orders in accordance with the payment terms specified in the order confirmation or quotation. We reserve the right to suspend or cancel your order if payment is not received in a timely manner.
  3. Shipping and Delivery：
    1. We will ship products in accordance with the shipping method and delivery timeframe specified in the order confirmation. Title to and risk of loss of the products shall pass to you upon delivery to the carrier.
    2. You are responsible for providing accurate shipping information. We shall not be liable for delays or losses caused by incorrect shipping information provided by you.
  4. Product Specifications： All product specifications, images, and descriptions on the Site are for illustrative purposes only. We strive to ensure the accuracy of such information, but we do not warrant that it is error-free. We reserve the right to modify product specifications without prior notice, provided that such modifications do not materially affect the product's performance.

Technical Support & Service Terms

  1. Technical Support Services： We provide technical support services in accordance with the terms outlined in our Technical Support page (e.g., pre-integration consulting, integration support, post-integration troubleshooting). We reserve the right to modify the scope and terms of our technical support services from time to time.
  2. Custom Design Services： Custom design services are subject to a separate service agreement between you and us. The terms of such agreement shall govern the provision of custom design services, including but not limited to requirements, deliverables, timelines, and fees.
  3. Limitation of Technical Support Liability： Our technical support services are provided on an "as is" basis. We do not warrant that the technical support services will resolve all your issues, or that the Services will be uninterrupted or error-free. We shall not be liable for any damages arising from your reliance on the technical support services.

Intellectual Property

  1. Ownership of Intellectual Property： All intellectual property rights (including but not limited to patents, trademarks, copyrights, trade secrets, and design rights) in and to the Services, products, and related information are owned by DSown or our licensors. These Terms do not grant you any rights to use our intellectual property except as necessary to use the Services for legitimate business purposes.
  2. Trademarks： "DSown" and our other trademarks, service marks, and logos are owned by us. You shall not use our trademarks without our prior written permission.
  3. User-Generated Content： If you submit any ideas, suggestions, feedback, or other content to us ("User Content"), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, distribute, display, and perform the User Content for any purpose related to our business.

Disclaimer of Warranties

THE SERVICES AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. DSOWN EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE INFORMATION PROVIDED ON THE SITE IS ACCURATE, COMPLETE, OR UP-TO-DATE.

Limitation of Liability

IN NO EVENT SHALL DSOWN, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.

Confidentiality

  1. Confidential Information： "Confidential Information" means any non-public information disclosed by either party to the other in connection with the Services, including but not limited to technical information, product specifications, pricing information, business plans, and customer data.
  2. Obligations of Confidentiality： Each party shall maintain the confidentiality of the other party's Confidential Information and shall not disclose or use such information except as necessary to perform its obligations under these Terms. Each party shall take reasonable measures to protect the Confidential Information, no less than the measures it takes to protect its own confidential information of similar nature.
  3. Exceptions to Confidentiality： Confidential Information shall not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is received from a third party who is not bound by a confidentiality obligation; (d) is independently developed by the receiving party without reference to the Confidential Information; or (e) is disclosed in accordance with applicable law or legal process.

Term and Termination

  1. Term： These Terms shall take effect on the date you first access or use the Services and shall remain in effect until terminated in accordance with these Terms.
  2. Termination by You： You may terminate these Terms at any time by discontinuing all use of the Services.
  3. Termination by Us： We may terminate these Terms at any time if you breach any of these Terms. We will notify you of such termination, and you shall immediately discontinue all use of the Services. Upon termination, any licenses granted to you under these Terms shall terminate, and you shall return or destroy all Confidential Information and other materials obtained from us.
  4. Survival： Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Confidentiality, and General Provisions) shall remain in effect after termination.

Governing Law & Dispute Resolution

  1. Governing Law： These Terms shall be governed by and construed in accordance with the laws of China, excluding its conflict of laws principles. For users in the European Economic Area, North America, or other regions with applicable local laws, these Terms shall also comply with such local laws.
  2. Dispute Resolution： Any dispute, controversy, or claim arising out of or in connection with these Terms or the use of the Services shall first be resolved through amicable negotiations between you and us. If the dispute cannot be resolved through negotiations within 30 days, either party may submit the dispute to the Beijing Arbitration Commission for arbitration in accordance with its arbitration rules. The arbitration award shall be final and binding on both parties.

General Provisions

  1. Changes to These Terms： We may update these Terms from time to time. When we make changes, we will revise the "Last Updated" date at the top of this page. Your continued use of the Services after the changes take effect constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
  2. Force Majeure： Neither party shall be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control (e.g., natural disasters, wars, strikes, government actions, or network outages). The affected party shall notify the other party of such circumstances as soon as possible and take reasonable measures to mitigate the impact.
  3. Severability： If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  4. Assignment： You shall not assign these Terms or any of your rights or obligations under these Terms without our prior written permission. We may assign these Terms to any third party without your consent.
  5. Entire Agreement： These Terms, together with our Privacy Policy and any separate service agreements entered into between you and us, constitute the entire agreement between you and us with respect to the Services and products, and supersede all prior or contemporaneous agreements, understandings, and communications.
